Derrick N. D. Hansen
Derrick
Hansen is Of Counsel with Friedman Dumas & Springwater
LLP. Mr. Hansen has broad experience in complex corporate
transactions, bankruptcy practice and advising companies in
all facets of their corporate needs, including mergers, acquisitions,
corporate financings, manufacturing and logistics arrangements,
secured transactions, corporate reorganizations, liquidations
and general corporate matters. Mr. Hansen also has experience
working on regulatory water and energy matters while advising
and representing municipalities and regulated public utilities.
Mr. Hansen's energy practice has included representing and
advising utilities in the negotiation and drafting of power
purchase agreements (“PPAs”) with developers of geothermal,
biomass, wind, photovoltaic solar, concentrated solar and
wave power, as part of the California Public Utilities Commission's
(“CPUC's”) 2005, 2006 and 2007 Renewable Portfolio Standard
(“RPS”) solicitations. In addition, he has reviewed regulatory
applications for approval of PPAs by the CPUC, has followed
closely recent developments in the energy industry relating
to RPS matters and climate change regulation before the CPUC,
and is well versed in the rules of practice and procedure
before that agency. Similarly, Mr. Hansen's experience with
water matters has most recently included negotiating, drafting
and seeking regulatory approval of a multi-party settlement
to resolve a decades long water supply solution for the Monterey
peninsula region by means of building a state-of-the-art regional
desalination plant. The settlement emerged from a collaborative
effort of local municipalities, various public interest groups
and a regulated water utility, and involved crafting a Water
Purchase Agreement that serves as the backbone for the proposed
regional desalination project.
Prior
to joining the firm, Mr. Hansen served as general counsel
to iAsiaWorks, Inc., a publicly-traded, pan-Asia Internet
Data Center company. While at iAsiaWorks, Mr. Hansen was responsible
for overseeing all aspects of the company's legal representation,
including issues of corporate governance, compliance with
the securities laws, strategic M&A transactions and the
raising of capital. Before working at iAsiaWorks, Mr. Hansen
was a corporate associate at both Brobeck, Phleger & Harrison
LLP in Palo Alto and Stroock & Stroock & Lavan LLP
in New York, where his practice focused on corporate and securities
laws matters primarily in the context of entrepreneurial,
start-up and emerging growth technology companies. There he
developed extensive expertise in a wide range of matters,
including initial formation, venture capital financings, mergers
and acquisitions, public and private securities offerings,
the periodic reporting requirements of publicly held companies
and general corporate counseling.
Mr.
Hansen received his undergraduate degree in International
Relations from Brown University in 1993 and a J.D. from Duke
University School of Law in 1997. Mr. Hansen is a member of
the state bars of New York (1998) and California (2003).
