Cecily A. Dumas

Cecily A. Dumas is a partner with Friedman Dumas & Springwater LLP specializing in commercial finance and corporate reorganizations.  She has been included in the Bankruptcy & Creditor/Debtor Northern California SuperLawyers Survey for 2008 and 2009. 

Bankruptcy. Ms. Dumas' recent representations include counsel for the debtor in Wilkes Bashford Company, the chapter 11 trustees in Cedar Funding, Inc. and SONICblue, Incorporated, former partners of Brobeck Phleger & Harrison LLP and former shareholders of Heller Ehrman LLP. She represented Pacific Gas and Electric Company in proceedings on remand from the United States Supreme Court in Travelers Cas. & Surety Co. v. Pacific Gas and Electric Co., 549 U.S. 443, 127 S.Ct. 1199, 167 L.Ed.2d 178 (2007).

Real Estate. Ms. Dumas has handled all aspects of distressed real estate, including receiverships, judicial and nonjudicial foreclosures, mechanic's liens, and claims on title insurance policies and surety bonds.

Business Transactions. Ms. Dumas has particular expertise in equipment leasing and represents technology equipment lessors and financiers. Recent transactions include documenting private label financing programs in the United States and Latin America for a major technology company.  She also has particular expertise in outsourcing and vendor contracts.

Commercial Litigation. Ms. Dumas also has significant experience in commercial litigation in federal and state courts.  She has handled numerous commercial lawsuits including lender liability, contract disputes, business torts and all aspects of bankruptcy litigation.

Publications. Ms. Dumas is a panelist for the annual “Recent Developments in Business Bankruptcy” sponsored by the Bar Association of San Francisco and the Bay Area Bankruptcy Forum.  She is Co-Author with M. Sheneman of “Equipment Leasing and the Bankruptcy Code” in Equipment Leasing — Leveraged Leasing (Practicing Law Inst. 1999). She has authored articles for the American Bar Association, Glasser LegalWorks, the Association of Insolvency and Restructuring Advisors and other publishers on various topics in bankruptcy and finance.

Education. She received her A.B. with honors from the University of California at Berkeley in 1980, and her J.D. from Golden Gate University School of Law in San Francisco , California in 1983.  She is a member of the State Bar of California, Bar Association of San Francisco, and American Bar Association.
